Subscription and Billing Agreement

1. Introduction
This Subscription and Billing Agreement ("Agreement") governs your subscription to the premium features and services offered by Fanboo ("we," "us," or "our"). Fanboo is operated by Open Business HK Limited, a company registered in Hong Kong with its registered office at FLAT/ROOM 1618A, 16/F, PIONEER CENTRE, 750 NATHAN ROAD, MONG KOK, KOWLOON, HONG KONG.
By subscribing to our services, you ("Subscriber" or "you") agree to be bound by this Agreement and our Terms & Conditions. If you do not agree to these terms, please do not subscribe to our services.
2. Subscription Plans
We offer various subscription tiers with different features and pricing. The specific plans available, their features, and pricing are displayed on our website and are incorporated into this Agreement by reference.
- Monthly Subscriptions: Billed on a recurring monthly basis
- Annual Subscriptions: Billed as a one-time annual payment with a discounted rate
- Plan Changes: You may upgrade or downgrade your subscription at any time
Subscription fees are displayed in your local currency and include applicable taxes unless otherwise stated.
3. Billing and Payment
3.1 Payment Method
Payments are processed securely through Stripe, our third-party payment processor. By subscribing, you authorize us to charge your designated payment method for all fees associated with your subscription.
3.2 Billing Cycle
- Monthly subscriptions: Billed on the same day each month
- Annual subscriptions: Billed once per year on your subscription start date
3.3 Failed Payments
If a payment fails, we will make reasonable attempts to process the payment again. Your subscription may be suspended or terminated if payment is not received within 14 days of the failed payment. You are responsible for any fees incurred by us due to failed payments, including but not limited to chargeback fees.
3.4 Price Changes
We reserve the right to change subscription pricing at any time. For annual subscribers, price changes will take effect at the next renewal date. For monthly subscribers, price changes will take effect at least 30 days after notice is provided. Notice of price changes will be sent to your registered email address.
4. Automatic Renewal
Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. By subscribing, you acknowledge and agree that:
- Your payment method will be charged automatically at the start of each new billing period
- Renewal charges are non-refundable except as expressly stated in this Agreement
- You authorize us to charge your payment method for all renewal periods until you cancel
You can disable automatic renewal at any time by managing your subscription through your account settings or contacting our support team.
5. Cancellation
You may cancel your subscription at any time through your account settings or by contacting our support team at support@fanboo.com.
- Monthly subscriptions: Cancellation takes effect at the end of your current billing period
- Annual subscriptions: You will retain access until the end of your paid annual period
- No partial refunds: We do not provide refunds for unused subscription periods
Upon cancellation, your access to premium features will continue until the end of your current billing period. After that, your account will revert to our free tier.
6. Upgrades and Downgrades
You may upgrade or downgrade your subscription plan at any time:
- Upgrades: Immediately effective, with prorated charges for the remainder of your billing period
- Downgrades: Take effect at the start of your next billing period
Proration calculations are based on the number of days remaining in your current billing period. Downgrade requests cannot be processed if the new plan would result in loss of features already utilized.
7. Refunds
Our refund policy is designed to be fair while maintaining service sustainability:
- 30-Day Money-Back Guarantee: New subscribers may request a full refund within 30 days of their first payment
- Annual Subscriptions: Eligible for pro-rated refund within 30 days of purchase, calculated from the cancellation date
- Monthly Subscriptions: Refunds are considered on a case-by-case basis within 30 days of payment

8. Dispute Resolution & Chargebacks
We are committed to resolving disputes fairly and promptly. This section outlines your rights and obligations regarding payment disputes and chargebacks.
8.1 Direct Communication First
Before initiating any chargeback or payment dispute with your bank or payment provider, you agree to first contact us directly to resolve any issues. Most disputes can be resolved quickly through direct communication. Please contact our support team at support@fanboo.com before filing a chargeback.
8.2 Pre-Chargeback Notice
We request that you contact us at least 15 days before filing a chargeback to allow us the opportunity to resolve the issue. This gives us time to investigate and address your concerns before involving your bank.
8.3 Your Chargeback Rights
You retain the right to dispute a transaction directly with your bank or payment provider. However, please be aware that:
- Filing a chargeback may result in your account being suspended during the investigation
- You may be required to provide documentation to support your dispute
- We reserve the right to investigate all chargebacks and respond with evidence to your bank
- We may submit relevant transaction evidence to your bank, including account creation records, acceptance of terms, proof of service delivery, and communication history
8.4 Chargeback Processing Fee
You agree to pay a chargeback processing fee of $25 USD (or equivalent in your local currency) for any chargeback filed that is subsequently resolved in our favor. This fee covers the administrative costs associated with investigating and responding to unwarranted chargebacks.
8.5 Account Suspension During Investigation
To protect our rights and prevent further disputed charges, your account may be suspended while a chargeback investigation is pending. Access to premium features will be restored if the chargeback is resolved in your favor.
8.6 Fraudulent Chargebacks
We take fraudulent chargebacks seriously. We reserve the right to suspend or terminate accounts associated with fraudulent chargebacks and pursue recovery of legitimate charges through appropriate channels, including legal action where necessary.
8.7 Dispute Resolution Process
Our dispute resolution process follows these steps:
- Step 1 - Contact Us: Reach out to our support team with your concern
- Step 2 - Investigation: We will investigate your issue within 48 hours
- Step 3 - Resolution: We will propose a fair solution (refund, credit, or other remedy)
- Step 4 - Escalation: If no resolution is reached, the matter may be escalated for further review
9. Subscription Access
Upon successful payment and subscription activation, you will receive access to the premium features associated with your selected plan. Access is provided subject to:
- Continuous payment of all applicable subscription fees
- Compliance with our Terms & Conditions and community guidelines
- Availability of the subscribed features
We reserve the right to modify, suspend, or discontinue any feature or service with reasonable notice.
10. Account Responsibility
You are responsible for:
- Maintaining the security of your account credentials
- Ensuring your payment method information is current and valid
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
We are not liable for any loss or damage arising from unauthorized access to your account due to your failure to protect your credentials.
11. Taxes
You are responsible for all applicable taxes related to your subscription. Subscription fees are displayed inclusive of VAT or other similar taxes where applicable. If you are tax-exempt, please contact our support team with documentation to update your account.
12. Security
All payment processing is handled by Stripe, a PCI-DSS Level 1 certified payment processor. We do not store your complete credit card details on our servers. The security of your payment data is governed by Stripe's terms of service and privacy policy.
13. Limitation of Liability
Our total liability for any claims arising from your subscription shall not exceed the total amount paid by you for the subscription in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages, including lost profits or data loss.
14. Termination
We may terminate or suspend your subscription immediately, without prior notice, if you:
- Breach any term of this Agreement or our Terms & Conditions
- Engage in fraudulent or illegal activity
- Fail to pay subscription fees when due
- Abuse or harass other users or staff
Upon termination, your access to premium features will immediately cease, and any outstanding fees become immediately due.
15. Changes to This Agreement
We reserve the right to modify this Agreement at any time. Material changes will be communicated via email to your registered address at least 30 days before they take effect. Your continued subscription after such changes constitutes acceptance of the modified Agreement.
16. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Hong Kong SAR, without regard to its conflict of law provisions. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of Hong Kong SAR.
